Which app these Terms cover. These Terms of Service apply to the Ask Lucilla app (Android package com.lucilla.rewards), the Lucilla assistant, and Lucilla's text-message service by SMS and WhatsApp — local deals, the map, claiming and redeeming rewards, event tickets, groups and matching, and business reward campaigns.
The Lucilla fitness app (com.lucilla.app) — step challenges and matches, the journal, wearables, the social feed and creator subscriptions — is governed by its own Terms of Service and Step Match Official Rules. Both apps use the same Lucilla account and wallet; each set of terms applies to the app you are using.
1. Acceptance of Terms
By accessing or using Ask Lucilla or texting our number ("the Service"), you agree to be bound by these Terms of Service ("Terms") and our Ask Lucilla Privacy Policy. If you do not agree to these Terms, do not use the Service. If you use the Service on behalf of a business, you accept these Terms for that business and confirm you are authorized to do so.
2. Eligibility
- You must be at least 13 years old to use Lucilla — or older where your jurisdiction sets a higher minimum age for digital consent (14 in most of Latin America, 15 in France, 16 in Germany and most EU member states). By using the Service, you represent and warrant that you meet the minimum age for your jurisdiction and have the legal capacity to enter into these Terms.
- In-person matching with other people is limited to adults (18+).
- Some rewards carry their own eligibility rules, such as an event's minimum age or a political committee's requirement that claimers be US persons.
- Businesses must be operated by an adult with authority to bind the business.
3. Your Account
- Ask Lucilla uses your Lucilla account. You can sign in with Google, Apple or email, and you must verify a mobile phone number and choose a username
- You must provide accurate, current and complete information, and keep it up to date
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account
- One person, one account. Creating multiple accounts to claim a reward more than once is prohibited
- Notify us immediately of any unauthorized access
- We may suspend or terminate accounts that violate these Terms
4. The Lucilla Assistant
Ask Lucilla includes an AI assistant that you can talk to in the app (by typing, with voice notes, or in a live voice conversation) and by SMS or WhatsApp. It suggests places, deals, rewards, events and people based on what you ask.
- AI can be wrong. Answers are generated automatically from information supplied by businesses, users and third parties. Opening hours, prices, availability, menus and offers may be out of date or inaccurate. Confirm anything important with the business.
- Not an emergency service. The assistant cannot send help or contact emergency responders. If you are in danger, call your local emergency number.
- Not professional advice. Do not rely on the assistant for medical, legal, financial or safety advice.
- Voice. When you use voice, the audio you send is uploaded and transcribed, and replies may be read aloud. On Android, a live conversation can continue while the app is in the background; a notification with a Stop button is shown the whole time. See the Ask Lucilla Privacy Policy.
- Improvement. Conversations are used to evaluate and improve the assistant as described in the Ask Lucilla Privacy Policy.
- Messages to others. If you ask the assistant to pass a question to a business, or to connect you with a group, gig or activity partner, your message is forwarded through Lucilla without revealing your phone number. You are responsible for what you send.
5. SMS / Text Messaging Program
Lucilla operates a text-message program at +1 (314) 237-4046. By texting our number, texting START, or opting in at lucilla.app/sms, you agree to receive text messages from Lucilla related to our service, including conversational replies to messages you send us, codes, reward and ticket confirmations, business listing confirmations, and — if you opted in to them — local deals, offers and event promotions.
- Message frequency varies.
- Message and data rates may apply.
- To opt out at any time, reply STOP — you will receive a confirmation and no further messages (except a reply if you text us about an emergency). Reply START to opt back in.
- For help, reply HELP, or contact us at legal@lucilla.ca.
- You can mute a single category of messages (for example, reply STOP DEALS) and unsubscribe from a single business by texting "unsubscribe from [business name]" or in the app under You → Businesses you hear from.
- Promotional messages are not sent between 9 p.m. and 8 a.m. in your local time (estimated from your phone number) and are limited in number; replies to your own messages and transactional messages are not.
- WhatsApp messages are delivered through Meta and are subject to WhatsApp's terms. We can reply over WhatsApp only within 24 hours of your last WhatsApp message; otherwise we may reply by SMS.
- Consent to receive texts is not a condition of any purchase.
- Carriers are not liable for delayed or undelivered messages.
- Only text from a phone number you own or are authorized to use. Automated, bulk or abusive messaging to our number is prohibited, and we limit how many replies, voice notes and forwarded messages a number can send.
Your mobile information and messaging consent will not be shared with third parties or affiliates for marketing or promotional purposes. See our Ask Lucilla Privacy Policy for how we handle your information.
6. Claiming and Using Rewards
6.1 Reward types
Rewards are created and funded by businesses, creators and event hosts ("Providers"), not by Lucilla. Ask Lucilla supports:
- USDC rewards: USDC sent to the claimer's wallet from funds the Provider deposited in advance
- Promo rewards: a discount, code or offer redeemed at the business
- Event rewards and tickets: free or paid access to an event
- Honeypot rewards: a USDC reward spread across several map zones, claimable by visiting one of them
- Cashback: USDC paid back from a Provider's cashback pool when you redeem an offer
6.2 Claim methods
- QR code: scan the code the business displays. If the reward also has a location, you must be within its radius when you scan
- Location: be physically inside the reward's area (at least 50 metres, set by the Provider) with a sufficiently accurate GPS fix
- Geo + QR (two-step): claim at the location, then present your redemption code or scan the business's code to redeem
- By text: some offers can be claimed through the assistant, which sends you a code to show at the business
6.3 Limits and requirements
- Each Provider sets how many times one person may claim (one by default), any waiting period between claims, the total number of claims, and an end date. A USDC reward pays out at most once per wallet per reward
- Rewards are first come, first served until the funds or quantity run out, and are unavailable after they end
- Providers may require you to complete tasks before claiming — for example answer a poll or survey, leave a review, upload a photo or video, watch a video, follow the business, like or comment on a post, reach a step count, stay at a location for a time, keep a visit streak, or visit several locations. Requirements are set by the Provider, not by Lucilla
- Recurring rewards are available only during the time windows the Provider schedules
- You cannot claim your own rewards, and members of a business's team cannot claim that business's rewards
- Completing requirements does not guarantee a reward if it has run out or ended
6.4 Randomized rewards (Mystery Rewards and cashback pools)
A Provider may configure a reward whose amount is randomized across tiers with probabilities the Provider sets (for example, each visitor receives $0.10, $0.50 or $1.00 USDC), may include a chance of no win, and may pay cashback as a random amount from a pool.
- Selection. The tier for each claim is selected at random by Lucilla's servers according to the probabilities configured for the reward, and the payout is limited to what remains in the Provider's pool. The result is final and cannot be re-rolled.
- No purchase necessary. Entry is the act of physically arriving at the location. Providers may not require a purchase, deposit or membership fee as a condition of claiming a randomized reward.
- Legal classification. Randomized rewards are intended to be promotional sweepstakes, not lotteries: a lottery requires prize, chance and consideration, and entry here requires no consideration.
- Provider registration. If a single tier amount exceeds $5,000 USDC, the Provider may be required to register or bond the sweepstakes with the relevant state regulator (for example Florida, New York, Rhode Island or Arizona). Providers are responsible for any required registration before launching.
- Eligibility. Standard account eligibility applies (Section 2), together with sanctions screening. Users in countries where Lucilla is not available cannot claim.
6.5 Platform fees on USDC payouts
Lucilla's platform fee is deducted from each USDC reward and cashback payout at the moment it is paid. The fee is set by the Provider's plan and shown in the app. Lucilla may change fees with 30 days' notice; the fee in effect when a payout is made applies.
6.6 Promo rewards
A promo reward is a promise by the business, not by Lucilla. The business is solely responsible for honoring it, and any dispute about a discount, product or service is between you and the business. Lucilla does not hold funds for promo discounts.
6.7 Event tickets and escrow
- When you buy a paid ticket, the full price is held in a Lucilla smart-contract escrow on the Base blockchain. The price must be at least $0.10 USDC, and one wallet can hold one ticket per event
- Check-in: when the host's staff checks you in, the escrow is released to the host, less Lucilla's platform fee
- Cancellation by the host: if the host cancels the event, tickets still held in escrow are refunded to buyers in full
- After the event: once the event has ended, tickets that were not checked in are released to the host and are not refunded. Funds are not released merely because ticket sales have closed
- Lucilla does not offer buyer-initiated refunds. Refund requests for any other reason are between you and the host
- The ticket platform fee is set by the host's plan and is shown when the event is created
6.8 Your responsibilities when claiming
- You must be physically present, or scan the genuine code, to claim
- GPS spoofing, simulated locations, VPNs used to fake location, emulators, modified apps and multiple accounts are prohibited. We record location-accuracy and spoofing signals with each claim and may reject claims that fail these checks
- We reserve the right to refuse, revoke or cancel rewards obtained fraudulently or in breach of these Terms, and to suspend accounts involved
- Hearing from businesses is part of claiming. Before your first claim you are asked to Agree & Claim, and every claim screen names the business. Claiming a business's reward shares your @username, contact details (name and email, and phone number if added) and the time and general area of your claim with that business, and records that business's consent to send you its offers by email, and by text message if your phone number is verified. This is required to claim. Businesses often keep their best rewards for customers who stay subscribed. You can unsubscribe from any business at any time under You → Businesses you hear from, or by replying STOP; a later claim never overrides an earlier unsubscribe. - You are responsible for any taxes on rewards and cashback you receive
7. Terms for Businesses, Creators and Event Hosts
7.1 Provider responsibility
Lucilla is a technology platform that connects Providers with nearby users. Lucilla does not own, operate, staff, supervise, inspect, or control any Provider’s premises, products, services, events, or in-person activities, and is not a party to any transaction, visit, reward redemption, or event between a Provider and a user.
Providers are solely and fully responsible for everything they offer, host, promote, or fulfill through Lucilla — including any reward, promotion, in-person visit, experience, or event (“Provider Activities”). Each Provider represents, warrants, and agrees that it will:
- comply with all applicable laws, regulations, licenses, permits, and codes — including business licensing, health and food safety, alcohol/liquor licensing and service laws, fire, occupancy and capacity limits, zoning, noise, tax, consumer-protection, advertising, sweepstakes, and accessibility requirements, and laws on incentivized reviews and endorsements;
- not require, reward or incentivize a particular review rating or sentiment — a business may ask customers to leave an honest review, and may offer a reward for leaving one, but the reward must not depend on the rating or content of the review;
- verify age and eligibility at the point of service and refuse service or entry where required — for example, not serving alcohol to, or admitting to age-restricted events, anyone under the legal age, and honoring all age, identification, and intoxication rules;
- provide a safe environment, carry any insurance appropriate to their premises, activities, and events, and be responsible for the safety, security, supervision, conduct, and crowd control of their events and of any minors present;
- honor, deliver, fund, and accurately describe the rewards, promotions, discounts, tickets, and offers they publish; and
- be responsible for their own conduct and that of their staff, contractors, guests, and attendees.
Lucilla disclaims all responsibility and liability for Provider Activities and for any act, omission, injury, illness, property damage, loss, dispute, or harm arising from or relating to a Provider’s premises, products, services, events, rewards, or in-person interactions. Each Provider agrees to indemnify, defend, and hold harmless Lucilla and its affiliates, officers, and employees from any claims, damages, penalties, fines, losses, and expenses (including reasonable legal fees) arising out of or relating to that Provider’s Activities, content, or breach of these Terms or any law.
7.2 Listings and content
- Listing information you provide in the app or by text (menus, prices, photos, hours, events) must be accurate, lawful, and yours to use. We may use AI to read photos and messages you send and turn them into listing content; you are responsible for reviewing it
- Prohibited: misleading offers, adult content, illegal products or services, and scams
- Lucilla may edit, hide or remove listings and campaigns that violate these Terms
7.3 Funding USDC campaigns
- USDC rewards, honeypot rewards and cashback pools are funded in full, up front: when you publish, your wallet approves and deposits the whole budget into a Lucilla smart-contract escrow on the Base blockchain. A campaign does not go live until the deposit is confirmed on-chain
- Each claim must pay at least $0.10 USDC, and every campaign must have an end date
- Payouts are made from your escrow as users claim, less the platform fee in Section 6.5. Rewards already paid to users cannot be refunded
- No fee is charged when you create a campaign
- If you use Lucilla's enterprise dashboard, campaigns may be funded, and prizes or cashback paid, from a Circle business wallet that Lucilla manages on your business's behalf under your instructions and enterprise arrangement
- Some distribution methods (such as equal-split or draw-style payouts) and fallback cashback payments are sent by Lucilla's servers from a Lucilla-operated wallet or your managed business wallet rather than directly from escrow
7.4 Unclaimed funds
- Unclaimed funds — the budget minus the rewards already paid — are returned in full, with no fee, to the wallet address that funded the campaign escrow
- This happens automatically after the campaign's end date, or earlier when the campaign is deactivated or you reclaim unclaimed funds
- If Lucilla funded a campaign on your behalf, unclaimed funds return to Lucilla
- Any member of your business's team can deactivate a campaign, which triggers the refund
7.5 Staff and team
- You can add staff to your business by username or phone number, as an admin or a team member
- Anyone on your team can redeem customers' codes and check in event tickets. Checking in a ticket releases its escrow to you, and redeeming certain offers pays cashback from your pool
- You are responsible for everything your team does with your business account, and for removing people who should no longer have access
7.6 Customer data
- In the app, you see your customers by @username together with their city, the rewards they claimed and when, and campaign statistics. Event hosts see guest names, photos and check-in status, and the information applicants provide
- Customers' names, email addresses and phone numbers are available only through the enterprise dashboard and emailed reports, and only while the customer holds a consent to hear from your business (recorded when they claim your reward: email, plus text messages if their phone is verified) and has not unsubscribed
- You must use customer data only for lawful communications related to your business, message only customers whose consent is current, honor unsubscribes immediately, include an unsubscribe option in your messages, comply with applicable privacy and anti-spam laws (including GDPR, CCPA, PIPEDA, CASL, CAN-SPAM and TCPA), and not sell, transfer or share customer data with unrelated third parties
- Questions customers send you through Lucilla arrive without their phone number; do not attempt to identify or contact them outside the thread unless they choose to share their details
7.7 Plans and fees
- Free: $0
- Starter (formerly Creator): $30/month
- Business: $100/month
- Enterprise: custom pricing under a separate agreement
Platform fees on USDC payouts and on event tickets are set per plan and shown in the app.
Paid plans are billed monthly by card via Stripe at lucilla.app/subscription; applicable taxes are added at checkout. Plan limits and fees apply per plan. Prices and fees may change with 30 days' notice. Your plan is tied to your Lucilla account and applies in both Lucilla apps.
8. USDC Wallet & Cryptocurrency
Important: USDC transactions are processed on the Base blockchain. Cryptocurrency transactions are irreversible. We are not responsible for lost funds due to user error.
- Your wallet is yours. Your Lucilla wallet is a non-custodial smart wallet that you create and control with a passkey on your device, using Circle's modular wallet infrastructure. Lucilla never receives your passkey and cannot move funds out of your wallet without your authorization. It is the same wallet you use in the Lucilla fitness app
- How money moves. USDC moves on the Base blockchain between users' own wallets and Lucilla smart contracts. Apart from the flows listed below, Lucilla does not hold, transmit or exchange customers' funds on their behalf
- Escrow: USDC for reward campaigns, cashback pools and paid event tickets is held by Lucilla smart contracts and released only under the rules in the Ask Lucilla Terms. Lucilla's servers submit claim, check-in, refund and settlement transactions. The contracts are upgradeable and administered by a multi-signature wallet controlled by Lucilla, whose administrative functions can recover tokens held by the contracts.
- Enterprise business wallets: businesses that use Lucilla's enterprise dashboard may have a Circle wallet that Lucilla manages on the business's behalf; Lucilla initiates transfers from it (for example to fund campaigns or pay prizes and cashback) under the business's instructions and enterprise arrangement.
- Lucilla-funded campaigns and payouts: Lucilla may fund a campaign from a wallet it operates, in which case unclaimed funds return to Lucilla. Some payouts — equal-split and draw-style distributions, and cashback sent when an escrow payout cannot be completed — are sent by Lucilla's servers from a Lucilla-operated wallet or the business's managed wallet.
- Network fees for supported in-app transactions are sponsored through Circle and billed to Lucilla.
- Not a financial institution. Lucilla is not a bank or financial institution. USDC in your wallet is not insured by the FDIC or any government agency. Rewards are not investments
- Risks. Blockchain transactions are final; smart contracts may contain bugs; networks may be congested or unavailable; the USDC peg is not guaranteed. You are responsible for safeguarding your device, passkey and recovery credentials. Lucilla is not responsible for losses caused by a compromised device, lost or shared credentials, phishing or SIM-swap
- Compliance. We screen for sanctions and fraud and may block transactions, require identity verification, restrict access pending review, and cooperate with authorities where applicable law requires
- Taxes. You are responsible for any taxes on USDC you receive
9. Groups, Matching and Community Events
- Matching introduces you to other people for activities, gigs, trades and groups. A match needs both people to agree. In-person matching is for adults (18+)
- Meeting people you do not know carries risk. Lucilla does not screen or background-check users. Meet in public places, tell someone where you are going, and leave if you feel unsafe. Your participation is at your own risk
- Hosts are responsible for their events as Providers under Section 7.1, including any minimum age they set. A private venue's exact address is shown only to people who join
- Masked text threads close after 48 hours. Reply BLOCK in a thread to report and end it
10. Content & Conduct
Your use of the Service must follow the Ask Lucilla Community Rules, which form part of these Terms and cover conduct in groups and matching, reviews, business posts and prohibited rewards.
10.1 Your content
- You retain ownership of content you submit (reviews, photos, messages, listings)
- You grant us a license to use, display, and distribute your content within the Service, as set out in the License Agreement
- You are responsible for your content and its legality. Reviews must reflect your genuine experience
10.2 Prohibited conduct
You may NOT:
- Post hate speech, slurs, or content targeting protected groups
- Post threats of violence, harassment, bullying, or doxxing
- Share sexual content, nudity, or anything sexualizing minors (zero tolerance)
- Post content promoting self-harm or suicide
- Spread misinformation that causes real-world harm (e.g. fake USDC giveaways, impersonation)
- Run scams, pyramid schemes, or request seed phrases / private keys
- Engage in illegal activity, incite violence, or promote terrorism
- Spam, use bot activity, impersonate, or astroturf — including fake reviews
- Share content that infringes third-party copyright or trademark
- Reverse engineer, hack, or exploit the Service
10.3 Zero tolerance for objectionable content
We maintain a zero-tolerance policy for objectionable content and abusive users. You agree not to post, upload, transmit, or share any content that is unlawful, harassing, abusive, threatening, harmful, hateful, defamatory, obscene, sexually explicit, violent, bullying, discriminatory, or otherwise offensive, and not to engage in abusive behavior toward any other user or business. We aim to review reports promptly and will remove offending content and eject the user who provided it, including by suspending or permanently terminating accounts, in our sole discretion and without prior notice. Report objectionable content or users to social@lucilla.ca.
11. Political Campaign Rewards
Rewards offered by political committees are subject to the disclosures at lucilla.app/political. To claim one you must provide the information the committee is required to collect and confirm you are eligible. Lucilla does not endorse any candidate or committee.
12. Intellectual Property
All content, features, functionality, software, designs, and technology of the Service are owned by Lucilla, Inc. and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws, including the Lucilla name and logo (trademarks of Lucilla, Inc.), the pay-per-visit foot-traffic attribution system (patent pending), the geo-reward distribution system and algorithms, the Mystery Reward randomization mechanism, and the two-step Geo + QR redemption process. 13. Third-Party Services
The Service relies on third-party services including Google (Firebase, Google Cloud, Maps), Twilio, WhatsApp/Meta, Circle and Stripe. We are not responsible for third-party services or their terms.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- The Service is provided "AS IS" and "AS AVAILABLE" without warranties
- We are not liable for indirect, incidental, or consequential damages
- Our total liability is limited to the amount you paid us in the past 12 months
- We are not responsible for lost cryptocurrency, data, or profits, or for the acts, omissions, premises, products or events of any Provider or other user
15. Indemnification
You agree to indemnify and hold us harmless from claims arising from your use of the Service, your content, your violation of these Terms, or your infringement of third-party rights. Providers additionally indemnify Lucilla as set out in Section 7.1.
16. Termination
- You may delete your account at any time in the app under You → Delete account, or at lucilla.app/legal/rewards/delete-account. Your Lucilla account is shared with the Lucilla fitness app, so deleting it ends your access to both apps
- Before deleting, withdraw your USDC and end or reclaim any campaigns you fund
- We may suspend or terminate accounts for Terms violations
- Upon termination, your data is handled as described in the Ask Lucilla Privacy Policy
- Blockchain transactions are permanent and cannot be deleted
17. Changes to Terms
We may update these Terms at any time. We will notify you of material changes via email or in-app notification. Continued use after changes constitutes acceptance.
18. Governing Law & Disputes
- These Terms are governed by the laws of Delaware, USA
- Disputes will be resolved through binding arbitration (not class action)
- You waive the right to a jury trial
19. Miscellaneous
- Severability: If any provision is invalid, the rest remains in effect
- No Waiver: Our failure to enforce a right does not waive it
- Entire Agreement: These Terms, the Ask Lucilla Privacy Policy and any enterprise agreement you sign constitute the entire agreement between you and us for the Service
